Welcome to UnderKey! These Terms of Service (“Terms”) govern your access to and use of our website and services available at www.underkey.io (the “Service”).

Please read these Terms carefully. By accessing or using UnderKey, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services.

1. Introduction

UnderKey is a software-as-a-service (SaaS) platform that allows users to generate AI-based responses for external chat interactions. The service offers both a free plan and a PRO subscription, with credits being allocated and reset on a monthly cycle.

2. Agreement to Terms

By registering for an account or using the Service, you confirm that you are at least 18 years old and capable of entering into a legally binding agreement. If you are using UnderKey on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.

3. Services

UnderKey provides tools that integrate AI-generated responses into user chat workflows. Features include:

  • Chat profile creation
  • Chat history management
  • AI-powered suggestions
  • Monthly/annual subscription with resettable usage credits

Some features are only available to PRO subscribers. Credits are used for AI functionality and do not carry over between cycles.

4. User Accounts

To use the Service, you must register an account using your email or Google account. You are responsible for safeguarding your account credentials and all activity occurring under your account.

We reserve the right to suspend or delete accounts that violate these Terms or pose a security risk.

5. Subscription and Billing

UnderKey offers a free plan with limited features and a PRO plan (monthly or annual) that includes additional functionality. Payments are securely processed via Stripe.

  • No refunds are available once a subscription is purchased.
  • PRO plan benefits are active while the subscription is current.
  • Credits are linked to OpenAI usage and reset monthly.

You can manage or cancel your subscription at any time through your account settings.

6. Acceptable Use

You agree not to:

  • Use UnderKey for any unlawful, harmful, or abusive purpose
  • Attempt to reverse-engineer or copy our code or AI models
  • Disrupt or degrade the performance of the Service
  • Bypass limits on usage or credits

We reserve the right to investigate and take action, including account suspension or legal action, if we believe you are violating these rules.

7. Intellectual Property

All content, features, and functionality on UnderKey, including but not limited to logos, software, and design, are the exclusive property of UnderKey or its licensors. You may not use, reproduce, or distribute any of these without our express permission.

You retain all rights to the content you create using UnderKey, subject to our rights to process and store it in connection with providing the service.

8. AI and Third-Party Services

UnderKey integrates with several third-party services, including:

  • OpenAI for chat generation
  • Supabase for storage and authentication
  • PostHog and Vercel for analytics and hosting
  • Stripe for payments
  • Resend for transactional emails

By using UnderKey, you also agree to the terms and privacy policies of these providers. UnderKey does not control or accept liability for their services.

9. Termination

You may delete your account at any time. Upon deletion:

  • All associated data is permanently removed from our systems
  • This action is irreversible

We reserve the right to terminate or suspend access to the Service at our sole discretion, with or without notice, for behavior that violates these Terms.

10. Disclaimer and Limitation of Liability

The Service is provided “as is” and “as available” without warranties of any kind. We do not guarantee that the Service will be error-free, uninterrupted, or secure.

To the maximum extent permitted by law, UnderKey and its affiliates will not be liable for any direct, indirect, incidental, or consequential damages resulting from:

  • Use or inability to use the Service
  • Any unauthorized access or data breaches
  • Third-party services or AI-generated content

11. Indemnification

You agree to indemnify and hold harmless UnderKey, its affiliates, and service providers from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

12. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the European Union and, where applicable, the country of incorporation of the Service operator.

Any disputes will be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.

13. Changes to Terms

We may revise these Terms at any time. We will notify users by posting an update notice on our website. Continued use of the Service after changes take effect constitutes your acceptance of the new Terms.
